Any use of our services or reliance on our content outside of this defined Service Region may be subject to different legal or practical considerations, for which AOC assumes no liability.
All content, methodologies, analysis tools, proprietary templates, final reports, and the trademarked name and logo of Action Over Coverage are owned by or licensed to AOC and are protected by copyright and trademark laws.
When you contract with AOC, you are granted a limited, non-exclusive, non-transferable license to use the consulting reports and materials provided to you, solely for internal business purposes within the client entity located in the Service Region.
You may not reproduce, distribute, publicly display, or create derivative works from our proprietary methodologies or consulting reports without express written permission from AOC.
You are granted a revocable, non-transferable license to access and use our website strictly in accordance with these Terms.
You agree not to use the AOC website or services:
In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, the NY SHIELD Act).
To exploit, harm, or attempt to exploit or harm minors in any way.
To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including "junk mail," "chain letter," "spam," or any other similar solicitation.
To upload, post, or transmit any material that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware.
The AOC website and content are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied.
While AOC employs professional diligence in providing its consulting services, we do not guarantee specific outcomes, results, or cost savings. Our services provide recommendations based on risk assessment and analysis; the implementation and ultimate success of those recommendations depend entirely on the client's execution and market conditions. AOC is not an insurance broker, underwriter, or legal counsel. Our guidance is not a substitute for professional legal, financial, or engineering advice.
In no event will AOC, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, our website or services, or reliance on any AOC report, including any direct, indirect, special, incidental, consequential, or punitive damages.
You agree to defend, indemnify, and hold harmless Action Over Coverage, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the website or services.
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.
Any legal suit, action, or proceeding arising out of, or related to, these Terms or the services provided by AOC shall be instituted exclusively in the federal courts of the United States or the courts of the State of New York having jurisdiction over Westchester County or New York City, New York. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the website and services thereafter. Your continued use of the website or services following the posting of revised Terms means that you accept and agree to the changes.
